Code of Conduct
This Code of Conduct was adopted by resolution by EuroCham Cambodia’s Board of Directors on June 7th 2023. It is effective immediately and applies to all present and future EuroCham directors & employees as well as any members representing EuroCham in public or vis-à-vis the Royal Government of Cambodia via our advocacy, chapters, committees, or service activities (hereinafter, “EuroCham Stakeholders” or “ES”).
EuroCham has adopted this Code of Conduct to establish the highest principles and standards and provide guidance to ES in recognition of their responsibilities to the public, clients, colleagues, and partners.
Principle 1: Integrity
Integrity requires honesty and candor, which must not be subordinated to personal gain, advantage, or current or future relationships, whether professional, personal, or financial. ES are placed in positions of trust by EuroCham members, and the ultimate source of that trust is their personal integrity. Good faith, errors, and legitimate differences of opinion can be tolerated, while integrity cannot coexist with deception or subordination of principle.
As such, ES shall not, in their words or actions, compromise their integrity by condoning or appearing to condone fraud, corruption, or misuse of EuroCham’s resources. Disapproval of any statement or expression of intent to commit such acts shall prevail. Any knowledge or reasonable suspicion of such act must be reported immediately.
Principle 2 – Objectivity
Objectivity requires intellectual honesty and impartiality. Regardless of the service rendered or the quality of the duties performed by an ES, they must protect the integrity of their duties, maintain objectivity, and avoid subordinating their judgment to personal, political, or religious opinion.
Principle 3 – Fairness & conflict of interest
Fairness requires impartiality, intellectual honesty, and disclosure of conflicts of interest. It involves subordinating one’s feelings, prejudices, and desires to achieve a fair balance and avoid conflicting interests.
Avoid any conflict of interest, both perceived and actual, and disclose promptly to the board of directors the possibility of such a conflict. If a conflict of interest is unavoidable, inform the chairman of the board of directors immediately upon learning of the conflict.
Principle 4 – Confidentiality
Confidentiality means that a piece of information is available only to those authorised to access it. A trusting relationship with members can only be built if members’ information remains confidential. All documents or data related to EuroCham in the possession of ES must be properly protected. Unless stated otherwise, information, documents, and data received by ES are for internal use only and are considered confidential, and shall not be shared with third parties without prior approval from the board of directors.
Principle 5 – Professionalism
Professionalism requires behaving with dignity and courtesy toward members, other board members and employees, and others engaged in professional activities. ES work together professionally to enhance and maintain the image of the organisation and improve the quality of services.
Principle 6 – Bribery & corruption
ES must refrain from receiving gifts or favors from third parties. Therefore, no gratuities, benefits related to official duties, remuneration, or honours shall be accepted. Any action or statement that might call into question the impartiality of ES must be avoided.
Principle 7 – Respect
Respect for others must prevail in all circumstances, both internally and externally. ES must treat others with courtesy, tact, and respect. Verbal or physical abuse and any form of harassment will not be tolerated. Offensive statements, derogatory judgments based on nationality, opinion or belief, culture, ethnicity, gender, sexual orientation, or personal reasons, even if not intended to harm or intimidate any person, will not be tolerated. Knowledge or reason to suspect that such acts have occurred must be reported immediately.
Obligations
Any current director or employee of EuroCham shall comply with the following obligations:
- Be familiar with and comply with the EuroCham statutes.
- Report any ongoing professional or personal occurrence that may present a reputational risk to EuroCham and/or a breach of this Code of Conduct.
- Refrain from making derogatory public comments about EuroCham & ES in the performance of their duties. Act in all circumstances in the best interests of EuroCham and ES, including ensuring the reputation and development of EuroCham.
- Not communicate to the media or the public on behalf of EuroCham unless specifically appointed by the board of directors.
- In all circumstances, to stand by the decisions taken by the board of directors.
Any activity seen as going against this code of Conduct may result in sanctions up to and including expulsion from the EuroCham board of directors, its committees or from any other position held vis-à-vis the public or the Royal Government of Cambodia, or disciplinary action for its employees. The board of directors reserves the right to exclude individuals & corporates from membership.
